Community Film Project General Agreement This Agreement ("Agreement") is made effective as of ____________, by and between the Community Film Project LLC ("Production Company") and the undersigned participant ("Participant").

  1. Introduction
  1. Project Overview: The Community Film Project (CFP) is a grassroots initiative that brings together individuals from diverse backgrounds to collaboratively create independent films that make a meaningful impact. Participants engage in various aspects of filmmaking, including scriptwriting, production, marketing, and fundraising. The work involves tasks such as developing and refining scripts, producing promotional materials, coordinating social media campaigns, managing sponsor relationships, organizing events, and educating new team members. With an emphasis on collaboration, creativity, and community involvement, the CFP offers opportunities to learn, contribute, and create while promoting local talent and storytelling.
  1. Neutrality Clause: The films and their production will remain religiously and politically neutral, respecting the diverse backgrounds of all participants and focusing on universal values.
  1. Participation & Commitment
  1. Time Commitment: Producing a feature film from scratch requires at least 6-8 months of pre-production, 15-25 production days (depending on the storyline), and 4-6 months of post-production. Participants are expected to contribute time throughout these phases.
  1. Weekly Hours: Participants are expected to contribute a few hours each week to the project.
  1. Promotional Content: Leading up to filming and the premiere, smaller events will focus on creating promotional content to build the audience and recruit additional participants. Participants may be asked to attend or assist with these efforts.
  1. Filming Schedule: Filming days may occur consecutively or be spaced out over the year. Major scenes will be captured in a concentrated time block, which may require adjustments to work and personal schedules. Participants may also need to return for pick-up shots after the initial edit assembly to address any gaps or refine scenes.
  1. Premiere and Promotion: Key cast and crew members are expected to attend the film's premiere events and participate in promotional activities upon its release.
  1. Deferred Payment: Payments will be deferred until the project generates revenue. Details of the payment structure and timeline are covered in a separate deferred payment agreement.
  1. Casting Policy for Lead Roles: Lead acting and crew roles in films produced by the Community Film Project, LLC will be assigned through traditional hiring and casting processes, as determined by the story’s needs and the director’s vision. Participation in the Community Film Project, LLC in any degree, does not guarantee an acting role or priority crew role for participant or any of the participants’ family in any film production.
  1. Appearance Commitment: Participants on camera in the feature production agree not to make drastic changes to their appearance (e.g., haircuts, hair color, significant weight changes, tattoos, major piercing, other body modification, etc...) for one year from the start of filming, in case reshoots are necessary. Any changes must be approved by the Community Film Project, LLC leadership team.
  1. Minor Participants
  1. Guardian Requirement: Minors under 18 must have parent or legal guardian permission to participate in productions. A parent or designated guardian over the age of 16 must be present at all times during minor participation for all minors under 12. The guardian is responsible for the minor’s well-being and adherence to set rules.
  1. Work Hours: The Community Film Project, LLC will ensure that the work hours for minors comply with federal and state labor laws.
  1. Confidentiality & Intellectual Property
  1. Confidentiality: Participants agree to keep details of the film, including the script and any proprietary information, confidential until given explicit permission by the Community Film Project, LLC to share.
  1. Intellectual Property Ownership: Any new contributions to the production created while being a part of this project—including ideas, suggestions, writing, artwork, acting, crew work, etc. —are considered part of the collective project, with full ownership residing with the production company. For any material created before joining the project, such as music, pictures, or other content, participants must license these materials to the Community Film Project, LLC for use in the production.
  1. Liability & Insurance
  1. Insurance Coverage: Basic production general liability insurance will be provided on set.
  1. Stunts: Participants will not be asked to perform any stunts. All stunts will be performed by professionals as needed.
  1. Personal Liability: Participants agree not to hold the Community Film Project, LLC or other participants liable for personal injury or damage unless caused by gross negligence.
  1. Dispute Resolution
  1. Mediation: In the event of disputes, participants agree to resolve issues through mediation before pursuing legal action.
  1. Jurisdiction: Legal matters will be handled under the laws of the state of Utah.
  1. Code of Conduct, Ethics, and Working Environment
  1. The Community Film Project LLC (“Production Company”) is committed to fostering a respectful, professional, and inclusive environment. By participating in the Project, all individuals agree to uphold the following standards:
  1. Zero Tolerance for Unethical or Unprofessional Behavior: Fraud, dishonesty, conflicts of interest, abuse, harassment, and discrimination of any kind are strictly prohibited. Participants must demonstrate professionalism and treat all individuals with respect in every interaction. Violations of this policy may result in immediate dismissal.
  1. Professionalism and Collaboration: Participants must maintain punctuality, treat others respectfully, and act with integrity. Open and constructive communication is essential, and conflicts should be resolved directly and respectfully to support a positive, collaborative environment.
  1. Equipment Handling: Participants are responsible for the careful handling and secure storage of all equipment. They must assist with cleanup and transportation of equipment as needed, with proper guidance provided by the Production Company.
  1. Ethical Conduct: Participants are expected to adhere to all applicable laws and regulations, including those regarding safety, environmental standards, and fair practices. Actions must align with the project’s values and promote a positive reputation in all interactions, including on social media.
  1. Attendance and Scheduling: Participants must follow the established schedule, provide at least two weeks’ notice for planned absences, and promptly notify team leads of unexpected delays or emergencies.
  1. Voluntary Participation and Disclosure: Participation in the Project is voluntary, but adherence to these standards is required. Participants must disclose any criminal history involving crimes against property or society. Failure to disclose this information may result in dismissal.
  1. Disciplinary Actions Failure to comply with the Code of Conduct and Professionalism Policy may result in disciplinary actions, including:
  1. Reprimands for minor infractions.
  1. Suspension or termination for repeated or serious violations.
  1. Legal action in cases of corruption, theft, embezzlement, or other unlawful behavior.
  1. Participants dismissed from the project are expected to share only neutral feedback publicly.
  1. Release to Use Image and Media: The Community Film Project LLC (“Production Company”) will document the Project through behind-the-scenes footage, stills, on-set activities, and recordings of online video conferences to highlight the process and promote the Project. By signing this Agreement, the participant grants the Production Company the perpetual, worldwide, royalty-free right to film, record, edit, reproduce, and distribute any still images, video footage, or audio recordings (“Media”) captured during their participation. This includes Media from scheduled filming, behind-the-scenes activities, and virtual meetings. The participant acknowledges that this Media may be used for promotional, marketing, and other lawful purposes related to the Project without additional approval or compensation and waives any related claims against the Production Company.
  1. Agreement Duration & Termination
  1. Duration: This Agreement shall remain in full force and effect in perpetuity, commencing on the effective Date, and continuing throughout the entire duration of the production, distribution, and active promotion of the feature films. This Agreement shall remain binding for as long as any rights granted herein are being exploited, including any renewals, extensions, or subsequent phases of production, distribution, or promotion.
  1. Termination: Either party may terminate the Agreement under conditions such as breach of contract or failure to meet commitments.
  1. Acknowledgment and Signatures: By signing this agreement, the participant confirms they have read, understood, and agree to comply with all terms and conditions outlined herein.

Non-Disclosure Agreement—Community Film Project LLC

THIS AGREEMENT is made and entered into as Date _____________________ by and between The Community Film Project LLC (“the Disclosing Party”) and, _______________________________________, (“the Recipient”) (collectively, “the Parties”). Purpose for Disclosure (“Business Purpose”): To protect processes, products, procedures, ideas, discussions, and creative imaginations of the Community Film Project LLC, the Community Film Project Board of Directors, staff, and volunteers from disclosure to outside parties. To protect physical and intellectual property generated by the Community Film Project LLC, the Community Film Project Board of Directors, staff, and volunteers from being disclosed in any fashion that is not approved by the Community Film Project Board of Directors in written policy, or by a majority vote of the Board of Directors. The Parties hereby agree as follows:

  1. For purposes of this Agreement, "Confidential Information" shall mean any and all non-public information, including, without limitation, technical, developmental, marketing, sales, operating, performance, cost, know-how, business plans, business methods, and process information, disclosed to the Recipient. For convenience, the Disclosing Party may, but is not required to, mark written Confidential Information with the legend "Confidential" or an equivalent designation. Be wary of undertaking an obligation to mark everything, since it is often neglected in practice.
  1. All Confidential Information disclosed to the Recipient will be used solely for the Business Purpose and for no other purpose whatsoever. The Recipient agrees to keep the Disclosing Party’s Confidential Information confidential and to protect the confidentiality of such Confidential Information with the same degree of care with which it protects the confidentiality of its own confidential information, but in no event with less than a reasonable degree of care. Recipient may disclose Confidential Information only to its employees, agents, consultants, volunteers, and contractors on a need-to-know basis, and only if such employees, agents, consultants, volunteers, and contractors have executed appropriate written agreements with Recipient sufficient to enable Recipient to enforce all the provisions of this Agreement. Recipient shall not make any copies of Disclosing Party’s Confidential Information except as needed for the Business Purpose. At the request of Disclosing Party, Recipient shall return to Disclosing Party all Confidential Information of Disclosing Party (including any copies thereof) or certify the destruction thereof.
  1. All right title and interest in and to the Confidential Information shall remain with Disclosing Party or its licensors. Nothing in this Agreement is intended to grant any rights to Recipient under any patents, copyrights, trademarks, or trade secrets of Disclosing Party. ALL CONFIDENTIAL INFORMATION IS PROVIDED "AS IS". THE DISCLOSING PARTY MAKES NO WARRANTIES, EXPRESS, IMPLIED OR OTHERWISE, REGARDING NON-INFRINGEMENT OF THIRD PARTY RIGHTS OR ITS ACCURACY, COMPLETENESS OR PERFORMANCE.
  1. The obligations and limitations set forth herein regarding Confidential Information shall not apply to information which is: (a) at any time in the public domain, other than by a breach on the part of the Recipient; or (b) at any time rightfully received from a third party which had the right to and transmits it to the Recipient without any obligation of confidentiality.
  1. In the event that the Recipient shall breach this Agreement, or in the event that a breach appears to be imminent, the Disclosing Party shall be entitled to all legal and equitable remedies afforded it by law, and in addition may recover all reasonable costs and attorneys' fees incurred in seeking such remedies. If the Confidential Information is sought by any third party, including by way of subpoena or other court process, the Recipient shall inform the Disclosing Party of the request in sufficient time to permit the Disclosing Party to object to and, if necessary, seek court intervention to prevent the disclosure.
  1. The validity, construction and enforceability of this Agreement shall be governed in all respects by the law of the State. This Agreement may not be amended except in writing signed by a duly authorized representative of the respective Parties. This Agreement shall control in the event of a conflict with any other agreement between the Parties with respect to the subject matter hereof. IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first above written.
